Acceptance of Terms

By accessing or using PrivaiShield ("Service"), operated by Appvergence LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including free (Starter) and paid (Business) plan subscribers.

Service Description

PrivaiShield provides a privacy layer for AI interactions. The Service detects and redacts personally identifiable information (PII) from user-provided text before that text is sent to third-party AI providers. The Service then restores the original information in responses so users receive useful AI output while reducing exposure of sensitive data.

The Service uses multiple layers of detection. The first layer runs in your browser. For enhanced detection (such as names and context-dependent data), your text may be processed through our servers. Any server-side processing for detection is transient — we do not permanently store your content for detection purposes.

Chat Storage Preference: You may choose between two storage modes for your chat history. Local Storage (default) keeps all chat data exclusively in your browser — nothing is sent to or stored on our servers. Server Storage (opt-in) stores your chat history encrypted on our servers using AES-256-GCM with AWS KMS customer-managed keys, allowing you to access conversations across devices and sessions. You can change your storage preference at any time in your Account Settings. Switching from server to local storage will delete all server-stored chat data.

Despite these measures, no automated system can catch every piece of sensitive information in every context. The Service is designed to significantly reduce the exposure of your data, not to eliminate all risk. You are responsible for reviewing redacted output before sharing it.

Account Terms

  • You must provide accurate, complete, and current information when creating an account.
  • You are responsible for maintaining the security of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service.
  • One person or legal entity may not maintain more than one free account.
  • You must notify us immediately upon becoming aware of any unauthorized use of your account.

Subscriptions & Billing

Free Starter Plan: Subject to usage limits as described on our pricing page. We reserve the right to modify usage limits at any time with reasonable notice.

Paid Plans: Billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as explicitly stated in these Terms.

Automatic Renewal: Paid subscriptions renew automatically at the end of each billing cycle. You may cancel at any time; cancellation takes effect at the end of the current billing period.

Price Changes: We will provide at least 30 days' notice before any price increase takes effect. Continued use of the Service after a price change constitutes acceptance of the new pricing.

Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights.
  • Transmit malware, viruses, or any other malicious code.
  • Attempt to reverse-engineer, decompile, or disassemble the Service.
  • Circumvent or disable any security or access-control features.
  • Use the Service to process data in a manner that violates applicable privacy laws.
  • Resell, sublicense, or redistribute the Service without prior written consent.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Use automated means (bots, scrapers) to access the Service beyond what is permitted by your plan.

Intellectual Property

Our IP: The Service, including all software, algorithms, designs, and documentation, is owned by Appvergence LLC and is protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand features.

Your Content: You retain all rights to the text and data you submit through the Service. We do not claim ownership of your content. Server-side processing for PII detection is transient and used solely to improve detection accuracy. If you opt into server-side chat storage, your chat history is stored encrypted (AES-256-GCM with AWS KMS) and remains your property. You may delete it at any time by switching to local storage or deleting individual sessions.

Feedback: If you provide suggestions, ideas, or feedback about the Service, you grant us a non-exclusive, royalty-free, worldwide license to use that feedback to improve the Service.

Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

If you are a Team plan subscriber using the Service to process Protected Health Information (PHI), the Business Associate Agreement governs the handling of that data.

If you are located in the EEA or UK, the Data Processing Agreement applies to our processing of personal data on your behalf.

Disclaimers & Limitation of Liability

"As Is" / "As Available" — The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Best-Effort PII Detection — No automated system can guarantee detection of all sensitive information in all contexts. Certain types of data — including but not limited to names, contextual references, and domain-specific identifiers — may not be detected or may be only partially redacted. The Service provides best-effort detection designed to reduce risk, not eliminate it. It is not a substitute for human review.

User Responsibility — You are responsible for reviewing redacted output before sending it to AI providers or any third party. You acknowledge that some sensitive information may remain in the redacted output and that you bear ultimate responsibility for verifying that your data is adequately protected before it is shared.

Liability Cap — To the maximum extent permitted by applicable law, PrivaiShield's total aggregate liability arising out of or related to these Terms or the Service shall not exceed the total fees paid by you to PrivaiShield during the twelve (12) months preceding the event giving rise to the claim.

No Indirect Damages — In no event shall PrivaiShield be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, regardless of the theory of liability.

Indemnification

You agree to indemnify, defend, and hold harmless Appvergence LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your content or data processed through the Service.

Termination

By You: You may stop using the Service at any time and cancel your subscription through your account settings. Cancellation of paid plans takes effect at the end of the current billing period.

By Us: We may suspend or terminate your access to the Service at any time for violation of these Terms, with or without notice. In the event of termination for cause, no refund will be provided for any prepaid fees.

Effect of Termination: Upon termination, your right to use the Service ceases immediately. If you have opted into server-side chat storage, your encrypted chat data will be deleted within 30 days of termination. Account metadata will be deleted in accordance with our data retention policy.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.
